EXPERTISE.

ENERGY AND INFRASTRUCTURE.

The energy and infrastructure sector is at the core of the green transition and at the centre of our practice. We have worked with developers, investors, contractors and suppliers on large and complex energy projects, particularly within onshore and offshore wind, PtX, CHP, biomass-to-energy and waste-to-energy.

With more than 40 projects and two decades of combined experience behind us, we know what it takes to bring a project from paper to execution and operation. Our insights come from working side by side with project teams and sales teams, understanding the technical interfaces, the timelines, and the commercial realities that shape the final decisions.

We help our clients move projects forward. From concept and contracting strategy to construction, commissioning and beyond. Our work covers all key project structures and documents, including EPC and design-build arrangements, FIDIC-based contracts, and supply and installation packages (TSA, foundations, electrical, OSS, etc.). We also establish partnerships, joint ventures and consortium agreements that balance risk and reward while enabling genuine collaboration.

For owners and project organisations, we design governance models and stage-gate processes that make decision-making clear, timely and defensible — ensuring accountability without slowing progress.

Our services include

  • Structuring and contracting strategies during project development
  • Drafting and negotiation of complex supply contracts, EPC contracts, O&M contracts, etc.
  • Contract management, including change and claims handling during execution, either as behind the line support or as an active player in the team on ad hoc basis
  • Tailored training sessions, for example in FIDIC and contract management
  • Take-over settlement discussions
  • Defect management support

MERGERS AND ACQUISITIONS.

Mergers and acquisitions are moments of change — often defining the next phase of a business.

At BenderKroger, we advise industrial and energy-sector clients on transactions ranging from strategic investments and joint ventures to full company acquisitions and divestments. We bring experience not only as attorneys-at-law, but also from leadership and board roles in complex enterprises – combining legal precision with commercial insight and practical transaction know-how.

We assist clients throughout the full transaction process, including:

  • Structuring and preparing transactions
  • Drafting and negotiating share purchase and asset transfer agreements
  • Conducting and coordinating due diligence
  • Establishing joint ventures and partnership frameworks
  • Preparing shareholders’ agreements
  • Managing closings and post-closing adjustments

Our approach is solution-oriented and efficient, focusing on getting the deal safely across the line while protecting our clients’ long-term interests.

Many of our transactions involve cross-border elements, where our industry experience and pragmatic mindset help bridge cultural and commercial expectations.

Whether acting for buyers, sellers or investors, we aim to make complex transactions manageable and create the framework for sustainable business growth.

COMMERCIAL CONTRACTS.

Contract-making is a craft – one that demands both legal precision and real-world experience.

At BenderKroger, we bring together legal expertise and practical insight from years of working with complex industrial and energy projects. Having led and negotiated countless contracts across CAPEX projects, supply chains and cross-border transactions, we understand both the commercial drivers and the operational realities that shape successful agreements.

We assist industrial enterprises, contractors and developers in structuring, drafting and negotiating agreements such as:

  • Supply contracts for equipment and materials
  • Logistics and transport agreements
  • Consultancy and engineering service agreements
  • Framework, cooperation, JV and partnership agreements
  • Manufacturing, fabrication and production contracts
  • Service and maintenance agreements

A strong contract should not only allocate risk but also enable progress. It creates alignment, sets incentives and supports performance. Guiding collaboration rather than relying on liability schemes.

Our contracts are designed to be clear, balanced and practical, while remaining legally robust and best-in-class. We help clients establish frameworks that support sound governance and deliver results in practice.

DISPUTE RESOLUTION.

Disputes are part of doing business – but they don’t have to become battles.

At BenderKroger, we see dispute resolution as an extension of our commercial advisory work. Our starting point is always the deal itself: understanding the intentions behind the contract and the commercial realities driving the conflict. From there, we work to reach solutions that protect relationships, manage risk and make economic sense.

We have extensive experience in resolving disagreements through pre-negotiation preparations, negotiation and structured settlement processes. In many cases, an early and well-prepared dialogue helps the parties assess their position, understand procedural risks and reach a fair commercial outcome before costs and time escalate.

When an amicable solution cannot be reached, we represent clients in Danish court litigation and arbitration proceedings.

CONSTRUCTION.

Major construction and industrial projects depend on strong contracts, clear risk allocation and alignment between parties. We support clients throughout the entire contract process, from early planning and tendering to execution, delivery and completion.

At BenderKroger, we combine legal expertise with hands-on experience from EPC and turnkey projects in energy, infrastructure and industrial facilities. We work with the Danish AB standards (AB 18, ABT 18, ABR 18, etc.) as well as international FIDIC contracts. We are recognised specialists in FIDIC, with substantial practical experience and a proven track record teaching both lawyers and industry professionals in how to apply it effectively.

We assist with drafting, reviewing and negotiating:

  • Construction contracts
  • EPC contracts
  • Turnkey contracts
  • Supply and installation agreements
  • Offshore EPC and EPCI contracts
  • Industrial plant and factory construction agreements
  • Consultancy and engineering agreements
  • Subcontracting and interface agreements
  • Governance models and change mechanisms

We consider contract management a critical craft. It requires a balance between documentation, collaboration and strategic positioning throughout the project. We help clients make tactical decisions that protect rights, preserve relationships and maintain leverage, strengthening their position long before a dispute is ever on the table. By managing variations, handling interfaces and addressing risks early, we reduce the likelihood of costly escalation later.

If disagreements do arise, we have experience with claim evaluation, Danish court litigation, arbitration and evidentiary procedures including expert determination and syn og skøn.

Our focus is clarity, cooperation and forward momentum. We help clients deliver complex CAPEX projects successfully with contracts that support solutions, not obstacles.
